Job Description

The Head Compliance Officer’s role is to ensure that the industry compliance rules are duly carried by daily support and control on the various company operations

Responsibilities & tasks

  • liaising with all relevant business and support areas within the Company
  • to monitor on a permanent basis and to assess, on a regular basis, the adequacy and effectiveness of the measures, policies and procedures put in place, and the actions taken to address any
  • deficiencies in the firm’s compliance with its obligations.
  • monitoring and assessing the level of compliance risk that the Company faces, considering the investment and ancillary services provided, as well as the scope of financial instruments traded and distributed
  • monitoring the adequacy and effectiveness of the measures and procedures of the Company
  • advising and assisting the relevant persons responsible for carrying out the investment services to follow the Law
  • drafting written reports to the Management Body on at least an annual basis, on the implementation and effectiveness of the overall control environment for investment services and activities, on the risks that have been identified and on the complaints-handling reporting as well as remedies undertaken or to be undertaken as well as include information about the financial instruments manufactured by the CIF, including information on the distribution strategy These reports shall be presented to the Management Body and discussed during its meetings, at least annually. The Company shall submit to CySEC the minutes of the meetings of the Management Body, during which the report of the Compliance Officer has been discussed. These minutes are submitted to CySEC, via the CySEC Web-Portal, within twenty (20) days from the date of the relevant meeting and no later than four (4) months after the end of the calendar year, attached to the said report
  • complete, in collaboration with the other Departments of the Company, Form144-002 regarding Cypriot investment Firms’ Quarterly Statistics, and
  • submit it electronically to CySEC via the TRS, on a quarterly basis
  • working on related changes to the Company’s documentation
  • training and educating the staff of the Company in respect with the compliance function according to the Law including, where necessary, provision of day-today assistance to the staff
  • communicating the relevant statutes of the IOM to each employee and notify them of any relevant changes therein that relates to his/her role and responsibilities in the Company
  • ensuring that the executive directors or other hierarchically higher officers do not exercise inappropriate influence over the way in which a relevant person carries out the provision of investment services
  • developing, designing, re-designing the appropriate procedures of the Company, so as to prevent and resolve potential conflicts of interest, ensuring that all the procedures regarding the
  • Company’s conflict of interest policy are in place, as well as establishing and maintaining Chinese Walls procedures between the various organizational units of the Company. Regular checks will be performed to ensure the latter
  • ensuring that all employees can identify cases of potential conflicts of interest. The latter will be verified at least once a year
  • deciding whether to allow or not a transaction by notifying Clients, after being informed by members of the staff of a potential conflict of interest situation
  • disclosing to Clients or potential Clients the general nature and any potentially present conflicts of interest
  • keeping records regarding conflict-of-interest situations, where relevant
  • consenting and approving the Company’s Replacement Policy
  • establishing and implementing the measures as regards personal transactions and notifying each relevant person of the restrictions on personal transactions
  • reviewing the Company’s website, on at least annual basis
  • monitoring and reviewing the dispatch to Clients of the confirmations/notifications regarding the execution of their orders, as applicable
  • ensuring that the process for the termination of Clients account is followed and signing the Client account termination notice.
  • ensuring that all relevant information is included in the Company’s outsourcing agreements
  • keeping and updating a list of Group employees, which come into contact with the Company or its Clients, directly or indirectly, thus, creating the possibility of a conflict-of-interest situation, as applicable
  • ensuring that the agreements as well as the nature of the service provision by the outsourced party, where the latter is a member if the same Group as the Company, is such so that the
  • Company controls the service provider and can control its actions.
  • ensuring that the performance of multiple functions by the Company’s relevant persons does not and is not likely to prevent those persons from discharging any function soundly, honestly, and professionally
  • receiving and following up Client complaints or grievances in relation to the Administration/Back Office Department and filing these complaints or grievances.
  • approve the information script and/or standard FAQ which shall state the information that can be shared with Clients before same are used by the Company’s Staff monitoring the operations of the complaints-handling process and consider complaints as a source of relevant information in the context of its general monitoring responsibilities.
  • advising and assisting the relevant persons responsible for carrying out investment services and activities to comply with the Company’s obligations under the Law.
  • monitoring the development and periodic review of product governance arrangements, to detect any risk of failure by the CIF to comply with the obligations set out under Section 8 of this IOM
  • compliance reports to the Management Body shall systematically include information about the financial instruments manufactured by the CIF (if any), including information on the distribution strategy.

 

Requirements

  • University/College Degree in Law, Economics, Finance or any other relevant field
  • Between 5/6 years of experience in a previous Compliance role within a CIF company
  • Holder of CySEC Advanced Certificate is a must
  • Excellent knowledge of rules and regulations of CySec, MIFID II
  • Up to date with CySec circulars
  • Excellent Computer Skills
  • Excellent Communication Skills in both Greek & English (Written & Spoken)
  • Strong Analytical Skills, organized, diligent and able to pay attention to details
  • Ability to work under pressure and tight deadlines
  • Team Player Individual with Strong Work Ethics
  • Leading and supervising skills
